1. Introduction

These Terms and Conditions govern all services provided by Smart Tech Resolutions, an Australian-registered company, hereafter referred to as “Smart Tech Resolutions”, and outline all responsibilities of the client, hereafter referred to as “the Client”.

2. Service Agreement

By engaging Smart Tech Resolutions’ services, the Client agrees to be bound by these Terms and Conditions.

3. Service Description

Smart Tech Resolutions will provide IT services as outlined in the applicable project proposal or service agreement.

Any additional services requested by the Client that fall outside the agreed scope will require a separate written agreement or an amendment to the existing contract. Such documents must clearly outline the scope, timeline, and associated costs.

4. Payment Terms

Payment for services is due within 30 days of the invoice date, unless otherwise specified in the relevant service agreement or proposal.

5. Late Payment

Invoices not paid within the specified time frame will be considered overdue. Smart Tech Resolutions reserves the right to suspend services until full payment is received. This right is enforceable under the Taxation Administration Act 1996 (NSW).

6. Overdue Fees

A late fee of 2% of the outstanding balance will apply if the invoice remains unpaid 30 days after the due date. An additional 2% will be charged for every subsequent 30-day period that the invoice remains unpaid.

7. Payment Methods

Accepted payment methods include Direct Deposit and Credit Card, as specified on the invoice.

8. GST

All prices are inclusive of Goods and Services Tax (GST). The Client agrees to pay the total amount, inclusive of GST, as stated on the invoice.

9. Termination of Services

Either party may terminate services by providing written notice.

Upon termination:

    The Client is responsible for payment of all outstanding invoices for services provided up to the termination date.

    The Client is also liable for the cost of any software licences purchased on their behalf.

    The Client must transfer any services or products (e.g., domains, software, hosting accounts) within 28 days of termination. If transfers are not completed within this period, billing will automatically resume from day 30.

    If the Client requires Smart Tech Resolutions’ assistance in transferring services to another provider, an additional fee will apply. This fee must be paid in full before any transfer assistance is provided.

10. Confidentiality

Smart Tech Resolutions will not disclose any confidential information obtained during the course of providing services to the Client, except where disclosure is required by law.

11. Intellectual Property

Unless otherwise agreed in writing, any intellectual property created by Smart Tech Resolutions during the provision of services will remain the property of Smart Tech Resolutions.

12. Limitation of Liability

Smart Tech Resolutions shall not be liable for any indirect, incidental, special, or consequential damages arising from or in connection with the services provided.

13. Governing Law

These Terms and Conditions shall be governed by the laws of New South Wales (NSW) and the Commonwealth of Australia. Any disputes shall be submitted to the jurisdiction of the courts of NSW.

14. Amendments

Smart Tech Resolutions reserves the right to amend these Terms and Conditions at any time, with reasonable notice provided to the Client.

Any amendments will be communicated in writing, along with their effective date. It is the Client’s responsibility to review and remain informed of any changes.

15. Acceptance

By engaging Smart Tech Resolutions’ services, the Client confirms they have read, understood, and agree to be bound by these Terms and Conditions.
